Terms of use.

The rules for using Adderley and joining a room.

Who we are

Adderley is operated by Toma Group Ltd, a company registered in England and Wales under company number 17129116. Its registered office is 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

References to “Adderley”, “we”, “us” or “our” mean Toma Group Ltd operating the Adderley brand. References to “you” mean the person using our website or app, introducing themselves, accepting an invitation, making a booking or attending a room.

When these terms apply

These terms apply when you use theadderley.com, use an Adderley app or digital service, introduce yourself, respond to an invitation, book or attend an Adderley room. By doing any of those things, you agree to these terms.

A room may also have specific details or booking conditions shown in an invitation, checkout page or confirmation. Those details form part of the agreement for that room. If they conflict with these general terms, the room-specific terms apply to that booking.

Please read our Privacy notice to understand how we use personal information. The Privacy notice is not part of these contractual terms.

The website and app

We make reasonable efforts to keep our website, app and information accurate, secure and available. We do not promise that they will always be uninterrupted, error-free or suitable for every device. We may maintain, change, suspend or withdraw part of a digital service where reasonably necessary.

Information published by Adderley is general information, not professional advice. You are responsible for ensuring that your device, internet connection and account details are secure. Do not share a sign-in code or allow another person to use an account in your name.

You must not misuse our services, attempt to gain unauthorised access, introduce malicious code, scrape personal information, interfere with another person’s use, or use Adderley for unlawful, commercial or fraudulent purposes.

Introductions and eligibility

You must be aged 21 or over to introduce yourself and attend an Adderley room. By submitting an introduction, you confirm that the information you provide is accurate and belongs to you.

An introduction is not a guarantee of an invitation, membership or access to any room. We decide which introductions and invitations to progress, taking account of the room, timing, capacity and Adderley’s purpose. We are not obliged to give reasons for a decision.

If you name a referrer, you confirm that you may provide their name or email address for that limited purpose. A referral helps us understand an introduction but does not guarantee an invitation.

Invitations and rooms

Invitations are personal, may be limited in time and may be subject to capacity. Unless we agree otherwise in writing, you may not sell, transfer or give an invitation or confirmed place to another person.

An invitation alone does not reserve a place. Your place is confirmed only when you complete the stated confirmation step and receive our confirmation. This may require payment.

We may withdraw an unpaid or unconfirmed invitation after its deadline, when capacity is reached or where we reasonably believe it has been misused. A complimentary invitation has no cash value and cannot be exchanged for money.

Being described as a member, guest or returning attendee does not itself create a paid subscription. If Adderley introduces a paid membership, we will provide its price, renewal, cancellation and other terms before you agree to it.

Bookings and payments

The total price and what is included will be shown before you pay. Payments are processed through Stripe or another payment provider identified at checkout. We do not store your full card details.

A contract for a paid place is formed when payment is accepted and we issue confirmation. Keep your confirmation and tell us promptly if any detail appears wrong.

If a price or description contains an obvious error, we may contact you before confirming the booking. If we discover the error after payment, we will offer the correct booking or a full refund. We will not charge an additional amount without your agreement.

Cancellations, refunds and changes

If you can no longer attend, cancel using the method in your invitation or confirmation, or email hello@theadderley.com as soon as possible. Any room-specific cancellation and refund terms shown before payment form part of your booking, subject always to your legal rights.

If no room-specific cancellation terms were shown, any amount we retain will be limited to a reasonable estimate of the loss caused by your cancellation, taking account of costs avoided and whether we can fill the place.

We may make reasonable changes to a room, including its venue within the same city, menu, chef, host, timing or guest list. If we cancel the room, reschedule it or make a material change, you may choose the alternative we offer or receive a refund of the amount you paid for the affected place, including any mandatory fee charged by us.

We are not responsible for travel, accommodation or other separate costs you choose to incur, except where the law says otherwise. Consider whether your arrangements can be changed or cancelled.

Conduct, safety and food

Adderley is built around people returning to the same room. Treat guests, hosts, venue staff and neighbours with respect. Harassment, discrimination, threats, violence, deliberate damage, unlawful conduct or behaviour that creates a material safety risk is not accepted.

Follow reasonable instructions from Adderley and the venue. We may refuse entry or ask someone to leave where reasonably necessary for safety, serious misconduct, suspected fraud, excessive intoxication or a material breach of these terms. Any refund will depend on the circumstances, our actual loss and your legal rights.

Tell us about dietary requirements, allergies or access needs by the deadline we provide. We will pass relevant information to the venue, chef or supplier and make reasonable efforts to accommodate it, but kitchens and venues may handle allergens in shared environments. Ask us before booking if a requirement is critical.

Where alcohol is available, drink responsibly. We or the venue may refuse service where reasonably necessary. Never drink and drive.

Content, privacy and photography

You remain responsible for information, messages and photographs you submit. Do not upload content that is unlawful, threatening, discriminatory, defamatory, invasive of another person’s privacy, or that you do not have the right to use.

You keep ownership of your content. You give us a limited, non-exclusive permission to host, copy and display it only as needed to operate the relevant Adderley service. This permission ends when the content is deleted, except for technical backups, legal records or content already shared at your direction.

Some rooms are photographed or filmed. We will make this clear at or before the room. If you do not want to be featured, tell us and the photographer; we will take reasonable steps to respect that choice. We will not publish an introduction photograph or written introduction as promotional content without separate permission.

Guests must respect one another’s privacy and should ask before posting a close or identifiable image of someone else. Content independently posted by another guest remains that guest’s responsibility.

Intellectual property

Adderley’s name, identity, copy, design, software, photographs and other materials are owned by Toma Group Ltd or used with permission from their owner.

You may view and use our services for your own personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, sell, license or commercially exploit our materials without written permission.

Links to third-party websites or services are provided for convenience. We do not control them, and their own terms and privacy notices apply.

Our responsibility

We will provide services with reasonable care and skill. Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your statutory consumer rights.

If we breach these terms, we are responsible for loss or damage that is a foreseeable result of that breach or our failure to use reasonable care and skill. We are not responsible for loss that was not foreseeable when the contract was made.

Adderley is provided for personal use. We are not responsible for business losses, including loss of profit, revenue, opportunity or goodwill. Nothing here affects any right that cannot legally be excluded.

You remain responsible for your personal belongings and for making safe travel arrangements, except to the extent loss or damage is caused by our negligence or another liability that the law does not allow us to exclude.

Ending or restricting access

We may suspend or end access to an account, invitation, room or Adderley service where reasonably necessary because of serious or repeated breach, non-payment, fraud, security, safety or legal requirements. Where appropriate and safe, we will explain the action.

You may stop using Adderley at any time and may ask us to close your record, subject to information we must retain. See our Privacy notice for deletion and retention details.

Changes to these terms

We may update these terms when our services, legal obligations or operating model changes. The current version and update date will be published on this page.

A change will not retrospectively remove rights from a booking already confirmed. If a change materially affects an ongoing paid service, we will bring it to your attention before it takes effect where reasonably practicable.

Law and contact

These terms are governed by the laws of England and Wales. If you live elsewhere in the United Kingdom, you also keep any mandatory rights and may bring a claim in the courts of the part of the United Kingdom where you live.

If a disagreement arises, contact us first at hello@theadderley.com and we will try to resolve it.

If any part of these terms is found to be unlawful or unenforceable, the remaining terms continue to apply. A delay in enforcing a right does not waive that right. No person other than you and Toma Group Ltd has a right to enforce these terms.
